Minty Beta Terms of Use

These Terms of Use ("Terms") govern your access to and use of Minty ("Minty", the "Service").
Minty is currently provided by Olive and Vine Limited ("we", "us", "our").
By creating an account, accessing, or using Minty, you agree to these Terms. If you do not agree, you must not use the Service.
1. About Minty
Minty is a software platform designed primarily for business, professional and operational use.
Minty may be used to organise, process and manage operational information, including petty cash records, invoices, receipts, bills, reports and related business records.
Minty is not:
- an accounting firm;
- a bookkeeping service;
- a tax adviser;
- an auditor;
- a law firm;
- a financial adviser;
- a bank; or
- a financial institution.
2. Beta Service
Minty is currently provided as a beta service.
The Service is under active development and has not been fully tested in all environments or use cases.
The Service may:
- contain bugs;
- contain errors;
- be incomplete;
- be unavailable from time to time;
- change without notice;
- lose or corrupt data;
- contain inaccurate calculations;
- have features added, modified or removed at any time.
You acknowledge that the Service is experimental in nature and is being evaluated and tested.
Your use of the Service is entirely at your own risk.
3. User Accounts
You may create a Minty user account.
A Minty user account may exist independently of any Entity.
You are responsible for:
- maintaining the confidentiality of your login credentials;
- maintaining the security of your account; and
- all activity occurring under your account.
You must promptly notify us if you become aware of unauthorised access to your account.
4. Entities and Authority
Users may create, join, administer or access an Entity within Minty.
An "Entity" means a business, organisation, sole proprietorship, partnership, practice, enterprise or other operational unit managed through Minty.
If you create, join or administer an Entity on behalf of another person or organisation, you represent that you have authority to do so.
The creator of an Entity is merely its first administrator and does not become the owner of the Entity solely by creating it.
Minty may rely on instructions given by administrators and authorised users unless we reasonably believe otherwise.
5. Ownership of Accounts and Data
User accounts belong to the individual user.
Entity Data belongs to the relevant Entity.
Users acknowledge that they may lose access to Entity Data when they cease to be authorised users of the relevant Entity.
The use of a payment method does not determine ownership of a user account, Entity or Entity Data.
Removal of a user from an Entity does not automatically delete that user's Minty account.
6. Entity Recovery
Minty does not verify the legal ownership of businesses, companies or Entities.
If access to an Entity is lost, Minty may, but is not obliged to, assist with recovery or reassignment of access.
Minty may conduct reasonable verification procedures before restoring or modifying access.
Minty may refuse any recovery request at its discretion.
7. Customer Data and Uploaded Content
You remain responsible for all information, content, records and documents uploaded, entered, stored, processed or transmitted through Minty.
You represent that:
- you have the necessary rights to use such information;
- you have obtained any required permissions or consents; and
- your use of Minty complies with applicable law.
Minty does not require users to upload:
- passports;
- identity cards;
- business registration certificates;
- proof of address documents; or
- similar verification documents.
If you upload such information, you remain responsible for doing so lawfully.
8. Acceptable Use
You must not:
- use Minty unlawfully;
- interfere with the operation of Minty;
- attempt to gain unauthorised access to Minty's systems;
- upload malware or harmful code;
- scrape or extract data using automated means without approval;
- use Minty in a manner that damages or impairs the Service.
Minty may remove content, restrict access or take other action where we consider it appropriate.
9. Third-Party Services
Minty may integrate with third-party services, including Xero.
Third-party services are provided by independent providers and remain outside Minty's control.
Minty does not guarantee:
- availability of third-party services;
- compatibility with third-party services;
- continued operation of integrations; or
- functionality of third-party services.
Minty is not responsible for any interruption, delay, error, API change, access restriction, data loss or service failure caused by a third-party service.
Your use of such services remains governed by the relevant provider's terms and privacy policies.
10. Service Changes
Minty may at any time:
- add features;
- modify features;
- remove features;
- discontinue modules;
- modify integrations;
- change functionality; or
- suspend or discontinue all or part of the Service.
Minty may do so without notice.
Minty does not guarantee that any feature, module or integration will remain available.
11. Free Beta Service
Minty is currently provided free of charge during the beta period.
Minty may introduce subscriptions, fees or pricing plans in the future.
If fees are introduced, continued use of the Service may require acceptance of additional billing or subscription terms.
Minty is not obliged to continue providing the beta service free of charge.
12. Suspension and Termination
Minty may suspend, restrict or terminate access to all or part of the Service at any time.
This may occur for reasons including:
- security concerns;
- suspected misuse;
- system protection;
- enforcement of these Terms;
- legal compliance;
- beta testing changes; or
- discontinuation of the Service.
Minty may do so with or without notice.
13. Data Retention and Deletion
Minty does not guarantee indefinite retention of data.
Data may be:
- retained;
- archived;
- anonymised; or
- permanently deleted
at any time following account closure, inactivity, Entity inactivity, termination of the Service or other operational requirements.
Users should not rely on Minty as the sole repository of important information during the beta period.
Minty is not obliged to provide any special export, migration or extraction service.
14. Backups
Minty may maintain backups, snapshots and recovery systems for operational purposes.
Such systems are maintained for Minty's benefit and operational resilience and not as a customer archiving or document retention service.
Users remain responsible for maintaining copies of information they consider important.
Minty does not guarantee restoration of any particular data.
15. No Professional Advice
Minty is a software platform only.
Nothing within Minty constitutes:
- accounting advice;
- bookkeeping advice;
- tax advice;
- audit advice;
- legal advice;
- financial advice; or
- professional advice of any kind.
Users remain responsible for:
- accounting treatment;
- tax treatment;
- regulatory compliance;
- business decisions;
- verification of records;
- review of reports;
- review of calculations;
- account code selection; and
- accuracy of information submitted into Minty.
16. Intellectual Property
Minty and all related software, branding, content, documentation and materials are owned by or licensed to Olive and Vine Limited.
These Terms do not transfer any intellectual property rights to you.
You receive a limited, revocable, non-exclusive and non-transferable right to use Minty in accordance with these Terms.
17. Disclaimer of Warranties
To the maximum extent permitted by law, Minty is provided on an "as is" and "as available" basis.
Minty does not warrant that:
- the Service will be available at all times;
- the Service will be uninterrupted;
- the Service will be error-free;
- defects will be corrected;
- data will never be lost; or
- results generated by the Service will be accurate, complete or suitable for any purpose.
18. Limitation of Liability
To the maximum extent permitted by law, Minty shall not be liable for:
- loss of profits;
- loss of revenue;
- loss of business opportunity;
- loss of goodwill;
- loss of anticipated savings;
- loss of customers;
- loss of data;
- business interruption;
- indirect loss;
- consequential loss;
- special loss;
- incidental loss;
- exemplary loss;
- punitive loss;
- tax liabilities;
- tax penalties;
- regulatory penalties;
- audit findings;
- accounting adjustments;
- user-entered data errors;
- third-party service failures; or
- losses arising from Xero or any other third-party service.
Because Minty is currently provided free of charge during the beta period, Minty's total aggregate liability arising out of or relating to the Service shall not exceed HKD100.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
19. Privacy
Minty's collection and use of personal information is governed by the Minty Privacy Policy.
By using Minty, you consent to the collection, use and processing of information in accordance with that Privacy Policy.
20. Changes to These Terms
Minty may amend these Terms at any time.
Updated Terms become effective when published or otherwise made available through the Service.
Minty may, but is not obliged to, notify users of changes.
Continued use of Minty after updated Terms become effective constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, you must stop using the Service.
21. Assignment
Minty may assign, transfer, novate, subcontract or otherwise deal with its rights and obligations under these Terms, including in connection with:
- a restructuring;
- reorganisation;
- internal transfer;
- incorporation of a dedicated Minty operating company;
- merger;
- acquisition; or
- sale of the Minty business.
You consent to any such transfer.
Following any transfer, references to Olive and Vine Limited shall be deemed to include the successor operator of Minty.
22. Governing Law
These Terms are governed by the laws of Hong Kong.
The courts of Hong Kong shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.
